1. Agreement to Terms

By accessing or using any services provided through Ascend by ETI, you agree to be bound by these Terms of Service. Ascend is a product of ETI Performance Improvement, an Indiana-based organization operating at 11 Municipal Drive, Suite 200, Fishers, Indiana 46038. All services delivered under the Ascend name are contracted through and provided by ETI Performance Improvement.

If you do not agree to these terms, do not use our services.

2. Services Provided

Ascend provides web presence and business infrastructure services for owner-operated small businesses. Services are organized into the following tiers:

Launchpad: A foundational build phase that establishes your website, brand, communications, and workspace in a connected system. Delivered over a defined project period.

Ground Control: Ongoing platform oversight, system monitoring, and access to Course Corrections on a monthly basis.

Mission Support: Defined project initiatives completed on an ongoing retainer basis, subject to a three-month minimum commitment.

The scope of services for each engagement is defined in a separate agreement or proposal provided at the time of contracting. ETI reserves the right to modify service offerings with reasonable notice to active clients.

3. Client Responsibilities

You agree to provide accurate information during onboarding and throughout the engagement. You are responsible for supplying content, assets, and timely feedback as outlined in your project agreement. Delays caused by incomplete client input may affect delivery timelines without affecting your billing obligations.

You are responsible for ensuring that any content you provide does not infringe on third-party intellectual property rights.

4. Payment Terms

Fees are outlined in your proposal or service agreement. Project-based fees (Launchpad) are due according to the payment schedule in your agreement. Monthly retainer fees (Ground Control, Mission Support) are billed in advance and are non-refundable once the billing period begins.

ETI reserves the right to pause or suspend services for accounts that are more than 15 days past due. Continued non-payment may result in termination of services and removal of managed infrastructure.

5. Intellectual Property

Upon receipt of full payment, you own the content and design assets created specifically for your engagement. ETI retains ownership of any proprietary frameworks, templates, systems, or methodologies used in delivering services.

You grant ETI permission to reference your business as a client for portfolio and marketing purposes unless you request otherwise in writing.

6. Limitation of Liability

ETI and Ascend are not liable for indirect, incidental, or consequential damages arising from your use of our services or any interruption in third-party platforms we manage on your behalf. Our total liability for any claim is limited to the fees paid for the specific service giving rise to the claim in the 30 days prior to the incident.

7. Termination

Either party may terminate services with 30 days written notice. Project-based engagements (Launchpad) may not be terminated mid-project without forfeiting fees paid to date. Monthly retainers may be cancelled effective at the end of the current billing period following notice.

ETI may terminate services immediately for non-payment, violation of these terms, or conduct that is harmful to our team or other clients.

8. Governing Law

These terms are governed by the laws of the State of Indiana. Any disputes will be resolved in the courts of Hamilton County, Indiana.

9. Changes to These Terms

ETI may update these terms from time to time. Continued use of services after notice of updates constitutes acceptance of the revised terms.
